Legal Counsel - Contracts

NextStep Recruiting is partnering with a fast-growing technology company in downtown Dallas to find a Commercial Counsel with 4–7 years of experience handling complex commercial transactions. This is a hybrid position (2 days remote, 3 onsite) reporting directly to the General Counsel. The role will support cross-functional teams and drive contract negotiations, compliance, and legal operations for a diverse range of technology offerings.


Key Responsibilities:

  • Draft, review, and negotiate a variety of commercial agreements, including MPSAs, CSAs, SOWs, and partnership agreements.
  • Advise internal stakeholders on legal and risk-related issues across business functions.
  • Maintain and update contract templates in line with regulatory and industry changes.
  • Lead initiatives to identify legal and compliance gaps and integrate updates into operational processes.
  • Provide legal guidance on matters related to privacy, governance, and corporate policies.
  • Support general legal operations, including litigation and employment matters as needed.


Qualifications:

  • JD from an accredited law school; active license in at least one U.S. state.
  • 4–7 years of legal experience in a law firm and/or in-house setting.
  • 3+ years handling technology-related commercial transactions.
  • Strong contract negotiation and drafting skills.
  • Proven ability to balance legal risk with business priorities.
  • Collaborative mindset and ability to thrive in a fast-paced environment.
  • Familiarity with government contracts and California employment law is a plus.
  • Proficient in Microsoft Office 365 and contract management systems.
